• Broker: A licensed intermediary facilitating the transportation between shippers and carriers.
• Shipper: The party contracting the Broker to arrange the transportation of goods.
• Carrier: A motor carrier or transportation provider contracted to transport freight.
• Load: Goods or cargo arranged for transportation by the Broker.

• The Broker acts as an intermediary and does not operate as a carrier.
• Services include load arrangement, carrier selection, documentation management, and communication facilitation.
• The Broker ensures that selected carriers are licensed, insured, and compliant with applicable laws.

• Carrier Vetting: Ensure carriers meet legal and safety standards, including holding active FMCSA licenses and sufficient insurance.
• Rate Negotiation: Establish fair and competitive freight rates.
• Documentation: Prepare and manage shipping documents, including bills of lading, contracts, and permits.
• Communication: Maintain timely communication between shippers and carriers regarding load status.

• Accurate Information: Provide complete and accurate shipment details, including weight, dimensions, and special handling instructions.
• Timely Payment: Settle all invoices within agreed payment terms.
• Compliance: Adhere to all relevant laws and regulations for the shipment.
• Packaging and Labeling: Ensure goods are adequately packaged and labeled for transportation.

• Compliance: Maintain current licensing, insurance, and safety certifications.
• Cargo Care: Safeguard goods during transit and report any issues promptly.
• Documentation: Provide proof of delivery (POD) and other necessary paperwork upon load delivery.
• Timely Updates: Communicate status updates, including delays or issues, in real-time.

• Payment to the Broker is due within 10 days of the invoice date unless otherwise agreed.
• Late payments may incur additional fees or interest charges.

• Broker: The Broker does not assume liability for freight loss, damage, or delay.
• Carrier: Carriers are required to maintain cargo insurance meeting the minimum legal requirements and may be held liable for freight loss or damage.
• Shipper: Shippers must ensure that their cargo value aligns with carrier insurance coverage.

• Any disputes related to freight brokerage services must be submitted in writing to the Broker within 10 days of the incident.
• The Broker will work to resolve disputes amicably. If a resolution is not reached, disputes may be subject to arbitration or litigation per applicable laws.

• The Broker will maintain the confidentiality of all shipment-related information, except as required by law or necessary for service delivery.
• Shippers and carriers must not disclose rate agreements or proprietary information without prior consent.

• The Broker reserves the right to terminate the agreement with shippers or carriers for violations of this policy, non-payment, or non-compliance with applicable laws.
• Either party may terminate the agreement with [Insert Days] notice, provided all pending obligations are fulfilled.

The Broker shall not be held liable for delays or service failures caused by circumstances beyond its control, including natural disasters, strikes, or government actions.
